This Antlii Tools License Agreement (the “Agreement”) is between Anatolii Babii, who publishes and licenses the Tools under the name Antlii (“Antlii”), and the person or Organization that accesses, purchases, activates, or uses an Antlii Tool (“you”).
By accessing or using a Tool, entering a license key, purchasing a
license, or starting a subscription, you agree to this Agreement. If you
accept this Agreement for an Organization, you confirm that you have
authority to bind that Organization.
1. Definitions
“Tool” means an Antlii software tool, web application, and its related code, interface, documentation, updates, and built-in materials made available through antlii.work or an authorized sales page.
“Output” means an image, animation, video, data file, design asset, or other result created or exported through a Tool. An Output does not include the Tool itself, its source or object code, a license key, or extracted built-in materials.
“Authorized User” means one natural person permitted to operate the Tool under the purchased tier.
“Organization” means the single legal entity or named business identified in the purchase record. Affiliates, parent companies, subsidiaries, clients, partners, and other entities are separate Organizations unless a written custom agreement says otherwise.
“Individual Tool License” means a license to one named Tool purchased for a one-time fee.
“All-Tools Access” means a time-limited subscription
covering the eligible Tools identified on the subscription sales
page.
2. License tiers
Subject to payment and compliance with this Agreement, Antlii grants you a limited, non-exclusive, non-transferable license to use the Tool within the scope of the tier shown on your receipt or purchase record.
2.1 Personal license
One individual may use the Tool for personal, educational, experimental, and other non-commercial purposes. Personal portfolios and non-monetized public sharing are allowed. A Personal license does not cover paid work, client work, advertising, business operations, monetized products or services, or use on behalf of an Organization.
2.2 Commercial license
One designated Authorized User may use the Tool for personal or commercial purposes, including freelance, professional, client, and internal business work.
If an Organization purchases the license, it may reassign the license when the previous Authorized User permanently stops using the Tool. It may not rotate or pool the license among multiple occasional users.
2.3 Studio license
Up to 10 Authorized Users working within one Organization may use the Tool for personal or commercial purposes. The Organization may update its Authorized Users as its team changes, but no more than 10 people may be authorized at one time and access may not be pooled for broader use.
2.4 Firm license
All employees of one named Organization may use the Tool for personal or commercial purposes. Direct access by affiliates, subsidiaries, parent companies, clients, partners, contractors, or other third parties is not included unless Antlii agrees otherwise in writing.
The Organization is responsible for the use of the Tool by its
Authorized Users and for ending access when a person is no longer
eligible under its tier.
3. Purchase models
3.1 Individual Tool
A license for Individual Tool covers only the Tool named in the purchase record. It is a one-time license with no expiration date. It does not automatically include separately released Tools, successor products, or services sold as distinct products.
3.2 All-Tools Access
All-Tools Access is available in Commercial, Studio, and Firm tiers. During an active subscription, it covers the Tools identified as included on the All-Tools Access sales page, together with new Tools that Antlii expressly adds to the subscription.
Unless expressly stated otherwise, All-Tools Access does not include commissioned work, client-specific or white-label Tools, custom development, source code, experimental work in progress, or products sold as separate custom offerings.
The subscription license ends when the paid subscription term expires or is terminated. You must stop using the paid functionality of the Tools after that date unless you renew, buy another applicable license, or continue only under an available unlicensed mode and its restrictions.
Outputs created while the subscription was active keep the rights
granted by the tier that was active when they were created. You may
continue to use, edit outside the Tool, distribute, sell, license, and
deliver those Outputs after the subscription ends.
4. License keys and access
A license key is confidential and may be used only for the Authorized Users and Organization covered by the purchased tier. You may not publish, sell, gift, sublicense, rent, or share a key outside that scope.
You must take reasonable steps to prevent unauthorized access. If you believe a key has been exposed or misused, contact Antlii so it can be replaced or disabled.
A license may not be transferred to another person or Organization
without Antlii’s written consent, except for reassignment of a
Commercial or Studio user as expressly permitted in Section 2.
5. Outputs
5.1 Ownership
As between you and Antlii, Antlii does not claim ownership of your Outputs. To the extent rights arise in an Output, those rights belong to you or the relevant rights holder, subject to any rights in your inputs and any third-party materials.
5.2 Personal Outputs
Outputs created under a Personal license may be used for personal and non-commercial purposes. You must obtain a Commercial, Studio, or Firm license before using those Outputs in paid work, client work, advertising, business operations, or a monetized product or service.
If the same user later obtains an applicable Commercial, Studio, or Firm license, that license also permits commercial use of Outputs the user previously created lawfully under their Personal license.
5.3 Commercial, Studio, and Firm Outputs
Outputs created under a Commercial, Studio, or Firm license may be used for any lawful personal or commercial purpose. You may copy, edit, combine, publish, display, distribute, sell, license, assign, or deliver them, whether modified or unchanged.
Permitted uses include client work, advertising, branding, websites, applications, games, films, video, social media, physical and digital products, merchandise, stock content, asset packs, datasets, machine-learning workflows, large campaigns, and mass production.
There is no additional Antlii license fee based only on the number of Outputs, audience size, client size, revenue, print run, production volume, media spend, or distribution scale.
5.4 Clients and recipients
A client or other recipient does not need an Antlii license merely to receive, own, edit, publish, sell, or otherwise use an Output delivered by an Authorized User. A separate license is required only if that person or Organization directly accesses, operates, embeds, or receives the Tool itself.
5.5 No guarantee of exclusivity
Antlii does not guarantee that an Output is unique, eligible for
copyright, registrable as a trademark, or free from similarity to
material created by other users or third parties. You are responsible
for deciding whether clearance, registration, disclosure, or
professional advice is appropriate for your intended use.
6. Inputs and third-party materials
You retain your rights in material you import, upload, or otherwise provide to a Tool. You confirm that you have the rights and permissions needed to use that material and to create and exploit the resulting Outputs.
Third-party fonts, libraries, media, data, links, services, or other materials remain subject to their own terms. This Agreement does not grant rights that Antlii does not own and does not override a third party’s license.
You are responsible for ensuring that your inputs, Outputs, and use
of the Tool comply with applicable law and do not infringe the rights of
others.
7. Protection of the Tools
The Tool is licensed, not sold. Antlii and its licensors retain all rights in the Tool, including its software, code, algorithms, interface, documentation, and branding.
Except where applicable law does not permit the restriction, you may not:
- copy, reverse engineer, decompile, disassemble, derive source code from, or create a derivative software product from the Tool;
- remove or alter copyright, trademark, authorship, or other proprietary notices in the Tool;
- bypass or interfere with license validation, access controls, usage restrictions, security features, or an unlicensed-mode watermark;
- sell, sublicense, rent, distribute, publish, mirror, or otherwise provide the Tool or its interactive functionality to another person outside your license scope;
- embed, repackage, white-label, frame, host, or expose the Tool through a website, application, plug-in, API, software service, or similar offering for third-party use;
- extract and separately distribute code or built-in materials from the Tool, other than ordinary Outputs created through permitted use;
- use automated means in a way that materially disrupts, overloads, probes, or compromises the Tool or its security; or
- use the Tool for unlawful activity or to violate another person’s rights.
Ordinary screenshots, reviews, tutorials, teaching demonstrations,
and documentation are allowed if they do not disclose a license key or
source code, bypass restrictions, or give others interactive access to
the Tool.
8. Unlicensed mode
If a Tool offers an unlicensed mode, you may use it for evaluation, learning, and experimentation. Outputs from that mode may not be used commercially.
You may share those Outputs publicly for non-commercial purposes if you keep any included watermark intact and give clear credit, for example: “Created with [Tool name] by Antlii — antlii.work.”
You may not remove, hide, crop out, or bypass a watermark or other
unlicensed-mode restriction. To use an Output commercially, obtain an
applicable Commercial, Studio, or Firm license.
9. Custom agreements
Contact Antlii for a written custom agreement before you:
- give clients, partners, affiliates, or the public direct access to a Tool;
- embed, host, repackage, resell, or white-label a Tool or its functionality;
- offer access through an API, application, plug-in, website, software service, or service bureau;
- request source code, a modified version, local or private deployment, custom development, or a service-level commitment; or
- need one license to cover multiple legal entities.
A custom agreement is not required merely because an Output is used
by a large client, appears in a high-budget campaign, is sold in large
quantities, or is widely distributed.
10. Updates, availability, and support
An Individual Tool License does not expire, but it is not a promise that the Tool, every feature, hosting, compatibility, or updates will remain available forever. Antlii may improve, modify, replace, suspend, or discontinue a Tool. Your rights in previously created Outputs are not affected by discontinuation.
Updates to the same Tool may be made available at Antlii’s discretion. A materially different or separately released product may require a separate purchase.
Support is provided on a reasonable-efforts basis. No guaranteed
response time, uptime, maintenance schedule, or service level applies
unless it is included in a separate written agreement.
11. Payment, renewal, cancellation, and refunds
When you purchase through Gumroad, Gumroad acts as the reseller and merchant of record and handles checkout, payment, applicable taxes, receipts, subscription billing, cancellation, and refund processing under its terms and the information shown at checkout.
All-Tools Access renews for the period and price disclosed at checkout unless canceled before renewal. Cancellation stops future renewal and does not shorten the already paid subscription term.
You may request a refund within 14 calendar days after an initial purchase. Refund approval and processing are handled through Gumroad and remain subject to mandatory consumer rights and any information presented at checkout. Renewal payments and unused subscription time are non-refundable except where required by law or expressly approved.
If a purchase is refunded, reversed, or charged back, the related
license ends and its key may be disabled. Unless mandatory law requires
otherwise, continued use of the Tool or its Outputs after a refund must
comply with an available unlicensed mode or another valid license.
12. Privacy and third-party services
Information about how a Tool processes personal data is described in the privacy notice made available on the Antlii website or within the Tool. If a Tool connects to or depends on a third-party service, that service may also apply its own terms and privacy practices.
Do not submit confidential, personal, or regulated information to a
Tool unless you have reviewed the relevant privacy information and
determined that the Tool is appropriate for that information.
13. Term and termination
This Agreement begins when you first access or use a Tool. A paid license continues for its stated term unless it is refunded or terminated for a material breach.
If you materially breach this Agreement and do not cure the breach within a reasonable time after notice, Antlii may suspend access, disable a key, or terminate the affected license. Antlii may act immediately when reasonably necessary to prevent fraud, unauthorized distribution, security harm, or unlawful use.
When a license ends, you must stop using the Tool under that license and delete any copy of the Tool provided for local use. Sections concerning Outputs already lawfully created, ownership, restrictions, disclaimers, liability, and general terms survive as needed to give them effect.
Except after a refund, reversal, chargeback, or material breach,
expiration or termination does not remove the Output rights already
granted while the license was valid.
14. Disclaimers
To the maximum extent permitted by law, the Tool is provided “as is” and “as available.” Antlii disclaims implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation.
Antlii does not promise that the Tool will meet every requirement, remain compatible with every environment, preserve every file, or produce a particular creative, legal, or commercial result. You are responsible for reviewing Outputs, keeping appropriate backups, and deciding whether the Tool is suitable for your use.
Nothing in this Agreement excludes a warranty or legal guarantee that
cannot lawfully be excluded.
15. Limitation of liability
To the maximum extent permitted by law, Antlii will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, business, goodwill, data, or opportunities arising from the Tool or this Agreement.
To the maximum extent permitted by law, Antlii’s total liability for all claims relating to a Tool or license will not exceed the amount you paid for the affected Individual Tool License or, for a subscription claim, the amount you paid for All-Tools Access during the 12 months before the event giving rise to the claim.
These limitations do not apply where liability cannot lawfully be
limited, including any non-excludable consumer rights.
16. Indemnity
To the extent permitted by law, you will defend and indemnify Antlii
against third-party claims, damages, and reasonable costs arising from
your inputs, your unlawful or infringing use of an Output, your
unauthorized provision of the Tool to others, or your material breach of
this Agreement. This obligation does not apply to the extent a claim was
caused by Antlii’s own breach, negligence, or willful misconduct.
17. Agreement hierarchy and changes
If terms conflict, they apply in this order:
- a separate written agreement signed or expressly accepted by Antlii and you;
- the tier, term, and product scope identified on the Gumroad receipt or purchase record;
- this Agreement; and
- summaries, FAQs, marketing pages, and other informational descriptions.
The version effective when you purchase a paid license governs that purchase. Antlii may update the Agreement for future purchases and future subscription terms by publishing a new dated version. A material change will not retroactively reduce rights under a fully paid license unless the change is required by law or you expressly accept it.
Antlii may make non-material clarifications or changes needed for
security, abuse prevention, or legal compliance. Mandatory law always
applies.
18. General terms
This Agreement and the documents identified in Section 17 form the entire agreement about the license and replace earlier discussions or statements about the same subject.
If a provision is unenforceable, it will be limited or removed only to the minimum extent necessary, and the rest of the Agreement will remain effective. A failure to enforce a provision is not a waiver. Headings are for convenience only.
You may not assign this Agreement to another person or Organization without Antlii’s written consent. Antlii may assign it as part of a merger, reorganization, sale of the relevant business, or transfer of the Tool, provided the assignment does not reduce your existing license rights.
This Agreement is governed by the law that applies under applicable conflict-of-law and consumer-protection rules. Nothing in this Agreement limits mandatory rights or the jurisdiction available to a consumer under applicable law.
Before starting a formal dispute, you and Antlii agree to make a
reasonable good-faith effort to resolve it by written communication.
